Terms of Service

These terms are an agreement between you (the business using the service, “Customer”) and MetricMirror (“we”, “us”) for use of MetricMirror (the “Service”). By creating an account you agree to them.
1. The Service
MetricMirror provides customer relationship management, review-request, lead-capture, messaging and reporting tools for businesses. We may improve or change features over time.
2. Accounts
You must provide accurate information, keep your login secure, and are responsible for activity by users you invite. You must be at least 18 and able to bind your business.
3. Free trial, subscriptions and billing
New customers may receive one 14-day free trial. A valid payment card is required to start it, and the subscription begins automatically — and your card is charged — when the trial ends unless you cancel before then. Each person, email address and payment card may use only one free trial, ever; this applies even if an account is deleted and re-created. Customers returning after cancelling start a paid subscription immediately.
Subscriptions are billed in advance, monthly or yearly, through our payment processor (Stripe), and renew automatically until cancelled. You can cancel from Settings → Billing; cancellation takes effect at the end of the current billing period, and you can undo it until then. Access to the Service requires a successful payment: if a payment fails, access is suspended immediately until the payment method is updated and the balance is paid, and the subscription is cancelled if payment isn't recovered. We may change prices with at least 30 days' notice.
3a. No refunds
All fees are non-refundable, including for partial billing periods, unused time, plan downgrades (which take effect immediately without credit), switches from yearly to monthly billing, unused features, and accounts that are cancelled or suspended — except where a refund is required by law.
3b. Changing plans and billing period
Upgrades take effect immediately and you are charged the prorated difference for the rest of the current billing period (the exact amount is shown before you confirm). Downgrades take effect immediately without any credit and aren't available while a cancellation is pending. Switching from monthly to yearly billing takes effect immediately: you are charged the yearly price minus a credit for the unused part of the current month, and your yearly term starts that day. Switching from yearly to monthly takes effect at the end of the yearly term you have already paid for; no part of a yearly payment is refunded.
3c. Account deletion
Accounts can't be deleted from within the Service. To stop paying, cancel your subscription; after it ends your data is kept for 90 days and then deleted as described in section 11. If you want your personal information deleted sooner, email support@metricmirror.app and we will handle it as required by applicable privacy law. Accounts that never start a subscription remain inactive; signing in again takes you to checkout.
3d. Off-season
Businesses on a monthly plan with an active, paid subscription may book an optional off-season: 1–4 consecutive calendar months in their business timezone. It is off unless booked and does not repeat; each off-season must be booked separately, at least 30 days before it starts and no more than 12 months ahead. A new off-season can't start within 12 months of the start of the previous one, and it requires at least 6 months as a paying customer on the current subscription. A booking may be cancelled at no cost any time before it starts. During the off-season the account is paused: the monthly invoices that renew within it (one per booked month) are not charged, the dashboard is unavailable except for Settings, no changes can be made, and automated messaging (review requests, reminders, text messages, campaigns and scheduled reports) stops. Your data is kept and your website lead form continues to collect leads. The account reactivates automatically when the off-season ends. An owner may end an off-season early at any time; billing restarts that day, and if an invoice within the off-season has already been skipped, a new monthly billing period starts and is charged that day. An off-season can't be started early, extended, or restarted once ended. Plan changes are unavailable from 3 days before it starts until it ends. If a payment fails or the subscription ends, the off-season ends immediately. Cancelling during an off-season follows the normal rules in section 3, and no refunds are given. We may change or end this program with notice.
3e. Founding Member pricing
Our first 20 subscribers across all plans may subscribe at a reduced monthly price (the “Founding Member price”), first come first served, while spots remain. The Founding Member price applies only to monthly billing and continues for as long as your subscription remains active without interruption, including while a failed payment is being retried. Changing plans moves you to the Founding Member price of the new plan. If your subscription ends for any reason, or you switch to yearly billing, the Founding Member price ends permanently and any later subscription is billed at our standard prices. A spot is not returned if you cancel after your first payment. Founding Member pricing has no cash value, can't be transferred, and isn't combined with other offers. We may change standard prices; Founding Member prices won't increase while your subscription remains continuous.
4. Your data
You own the data you put into the Service (“Customer Data”), including information about your own customers. You grant us permission to host and process it only to provide and improve the Service, as described in our Privacy Policy. You can export your data at any time, and may delete your business or account from Settings.
5. Messaging and review requests — your responsibilities
You are the sender of emails and texts sent to your customers through the Service. You agree to: (a) only message people you have a relationship with and, for text messages, prior express consent as required by the Telephone Consumer Protection Act (TCPA) and carrier rules; (b) honor opt-outs (the Service processes unsubscribe and STOP requests automatically); (c) include accurate business identification and a valid postal address in marketing emails (CAN-SPAM); and (d) comply with review-platform policies and the FTC’s rules on consumer reviews, including not offering incentives for reviews, not posting fake reviews, and not selectively soliciting only positive reviews.
6. Acceptable use
You may not use the Service to send spam, unlawful, deceptive or harassing content; collect data without a lawful basis; attempt to access other customers’ data; interfere with the Service; or resell it without our permission. We may suspend accounts that violate these terms or put the Service or others at risk.
7. Third-party services
The Service relies on providers such as Supabase (hosting), Stripe (payments), Resend (email) and Twilio (SMS), and may link to Google and other platforms. Their terms may also apply, and we aren’t responsible for their services.
8. Disclaimers
The Service is provided “as is”. We don’t guarantee any particular number of reviews, leads or revenue, or that the Service will be uninterrupted or error-free. Metrics such as cost per job and return on ad spend are calculated from data you and your integrations provide.
9. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits, and our total liability for any claim is limited to the amount you paid us in the 12 months before the claim.
10. Indemnity
You will defend and indemnify us against claims arising from your Customer Data or your messages to your customers, including claims under TCPA, CAN-SPAM or similar laws.
11. Termination and data retention
You may stop using the Service at any time. We may suspend or terminate accounts for material breach or non-payment. After a subscription is cancelled or terminated for non-payment, we keep your data for 90 days so you can export it or resubscribe, and then permanently delete it. We'll email the account owner before deletion.
12. General
These terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. We may update these terms and will notify you of material changes. Questions: support@metricmirror.app.
